The term of this Agreement (the “Term”) will begin on the date of this Agreement or the date of purchase and will remain in full force and effect indefinitely until terminated as provided in this Agreement.
Either Party may terminate this Agreement by providing 14 days’ written notice to the other Party.
If the Client terminates this Agreement prior to completion of the Services, but the Services have been partially performed, Monsta Media Group Palm Beach will be entitled to the full month’s payment for that month.
To cancel services and automatic payments, 14 days’ notice is required.
The Client acknowledges that advertising spend is required for Facebook and Google advertising. This financial obligation must be paid directly by the Client to the relevant platform at the agreed amount discussed by all Parties prior to engagement.
Ad management requires a minimum of $30 per day ad spend per service for weeks 1–2. This amount may increase based on the Client’s business ability and requirements for more volume.
Management fees are payable weekly in advance.
The first payment can be made by credit or debit card.
All future payments will be automatically invoiced and processed via the card used for the first payment.
Auto invoicing will be sent the day before payment is due and processed on the due date.
Any invoices unpaid within four weeks of the due date will be referred to debt collection at the Client’s expense.
Confidential Information refers to any data or information relating to the Client’s business that would reasonably be considered proprietary, including but not limited to accounting records, business processes, and client records. This excludes information generally known in the industry or required by law to be disclosed.
Monsta Media Group Palm Beach agrees not to disclose, divulge, reveal, report, or use any Confidential Information obtained, except as authorised by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
All written and oral information and material disclosed or provided by the Client under this Agreement is considered Confidential Information, regardless of when or how it was provided.
Delivery times are based on all required information being provided by the Client. While every effort will be made to deliver on time, delays may occur due to unforeseen circumstances.
Estimated delivery times are as follows:
Meta Ads: within 7 days
Google Ads: within 14 days
Meta Socials: within 7 days
SEO: within 14 days
Single Page Website: 7–14 days
Fast Track Website: 14 days
CRM Build: 7–14 days
Custom Websites: as per quote
Except to the extent paid under applicable insurance policies and permitted by law, each Party agrees to indemnify and hold harmless the other Party, and its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, expenses, legal fees, and costs arising out of any act or omission by the indemnifying Party in connection with this Agreement.
This indemnity will survive the termination of this Agreement.
